These Terms and Conditions govern your use of the website at xantheco.world and any advisory services provided by Xanthe Co ("we", "us", "our"), a business based in Kuala Lumpur, Malaysia. By accessing this website or engaging our services, you accept these terms in full. If you do not agree with any part, please do not use the website or proceed with an enquiry.

"User" / "You"
any person or entity visiting the website or enquiring about or engaging our services.
"Content"
all text, documents, templates, and materials made available through the website or during an engagement.
"Website"

2. Acceptance of Terms

By using the website or submitting an enquiry, you confirm that:

  • You are at least 18 years of age or have the legal capacity to enter into a binding agreement.
  • You have read, understood, and agree to be bound by these terms.
  • If acting on behalf of a company or organisation, you have authority to bind that entity to these terms.

3. Services

Xanthe Co offers advisory engagements focused on e-commerce operations — covering stock management, order processing, and fulfilment workflows. Three service tiers are available:

Store Operations Review

One advisory session with a written summary. Suited to small online sellers at an early stage of operations review.

Fulfilment Flow Advisory

Four sessions with working templates. Aimed at growing sellers building more structured operations habits.

E-commerce Operations Programme

Eleven sessions with playbooks and reviews. Designed for established stores building long-term operational infrastructure.

Services are delivered online or at a location agreed in writing. Availability is subject to scheduling. We reserve the right to decline an engagement where a fit is not appropriate.

4. User Responsibilities

When using the website or engaging our services, you agree to:

  • Provide accurate information in all communications and form submissions.
  • Not use the website for any unlawful or deceptive purpose.
  • Not attempt to gain unauthorised access to any part of the website or its infrastructure.
  • Respect the confidentiality of any materials shared during an engagement.
  • Attend or reschedule sessions with reasonable notice (at least 48 hours where possible).
  • Not reproduce or distribute materials from an engagement without written consent.

5. Intellectual Property

All content on this website — including text, design, structure, templates, and frameworks — is the property of Xanthe Co or its licensors. We grant you a limited, non-exclusive, non-transferable licence to access and use website content for personal, non-commercial reference.

Materials delivered during an advisory engagement (such as templates, notes, and playbooks) are licensed to you for internal use within your business. You may not resell, sublicense, or present them as your own work to third parties.

Nothing in these terms transfers ownership of any intellectual property to you.

6. Payment Terms

Fees are quoted in Malaysian Ringgit (RM) and are subject to the following conditions:

Fulfilment Flow Advisory RM 2,220 50% on confirmation, 50% after session 2
E-commerce Operations Programme RM 4,560 Split across 3 invoices as agreed
  • Payment is due by the date stated on the invoice. Late payment may result in paused or rescheduled sessions.
  • Cancellations made at least 5 business days before a session may receive a partial credit toward a rescheduled session at our discretion. Fees already incurred for completed sessions are non-refundable.
  • All fees exclude applicable taxes unless stated otherwise.

7. Service Terms

  • The scope of each engagement is agreed in writing before work begins. Changes to scope after confirmation may affect timing and fees.
  • Sessions are conducted online by default. In-person arrangements, if applicable, are agreed separately.
  • We will make reasonable efforts to meet agreed timelines. Delays caused by the client (such as missed sessions or late information) may extend delivery dates accordingly.
  • We may engage qualified associates to assist with delivery. Overall responsibility remains with Xanthe Co.
  • Confidential information shared by the client during an engagement is held in strict confidence and is not disclosed to third parties.

8. Disclaimers

This website and all services are provided on an "as available" basis. While we take care to ensure the information presented is accurate, we make no representations about its completeness or suitability for any specific purpose.

Advisory services reflect our professional perspective based on the information you provide. They are not a substitute for legal, financial, or regulatory advice. We do not make undertakings about specific business results or outcomes arising from our advisory work.

We are not liable for decisions made by clients on the basis of advisory sessions, nor for circumstances outside the agreed scope of an engagement.

9. Limitation of Liability

To the extent permitted by Malaysian law, Xanthe Co's total liability in connection with any engagement or website use is limited to the fees paid by the client for the specific service giving rise to the claim.

We are not liable for indirect, incidental, or consequential losses, including lost revenue, lost data, or business disruption, whether arising from use of the website or from an advisory engagement.

These limitations do not affect rights that cannot be excluded under applicable Malaysian consumer protection law.

10. Indemnification

You agree to indemnify and hold Xanthe Co, its team, and associates harmless from any claim, loss, or expense (including reasonable legal fees) arising from your misuse of the website, breach of these terms, or any unlawful or negligent act in connection with your use of our services.

11. Termination

Either party may end an ongoing engagement by giving 10 business days' written notice. Fees for completed sessions and delivered materials remain payable. We may suspend or terminate an engagement immediately if a client breaches these terms in a material way.

Provisions relating to intellectual property, disclaimers, limitation of liability, and dispute resolution survive termination.

12. Dispute Resolution

These terms are governed by the laws of Malaysia. In the event of a dispute, both parties agree to first seek resolution through direct discussion in good faith.

If direct discussion does not resolve the matter within 30 days, either party may refer the dispute to mediation in Kuala Lumpur before pursuing formal legal proceedings. Formal proceedings, if necessary, shall be brought in the courts of Malaysia.

13. General Provisions

  • Entire agreement: These terms, together with any written scope accepted by both parties, form the complete agreement and supersede prior understandings.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
  • Waiver: Failure to enforce a right under these terms does not constitute a waiver of that right.
  • Assignment: You may not assign your rights under these terms without our written consent. We may assign ours in connection with a business transfer.

14. Changes to Terms

We may update these terms from time to time to reflect changes in our services or applicable law. We will revise the effective date at the top of the page. Continued use of the website after an update constitutes acceptance of the revised terms. For ongoing engagements, material changes will be communicated directly.
